Legal · Participant terms
Terms of useand programmeterms.
In short
6 pointsThese Terms govern your use of the Catalysis23 website and your application to, and participation in, any Catalysis23 programme. By using the website, submitting an application, or confirming a seat, you agree to them. If you do not agree, do not use the website or apply.
- 01You keep your idea, your product, your company and your equity. We take none of it by running a programme.
- 02Programmes are public by design. We film, document and publish what happens, including when things fail.
- 03We do not guarantee funding, investment, users, revenue or any outcome.
- 04Selection is by us, at our discretion. Sponsors and partners have no say in it.
- 05Do not fabricate results. Anything you report at a checkpoint, launch or Demo Day must be true.
- 06Nothing here is an offer of securities or a request for investment.
In short — for convenience only. The full terms below apply.

Using the website
SectionYou may use the Website for lawful purposes only. You must not:
- scrape, copy or harvest content or data from the Website by automated means without our written permission;

Catalysis23, C23, Sprint, Catalyst, The Catalysts, the C23 logo and our related names and designs belong to us. The Website's content, design and text are ours or used under licence. We give you a limited, revocable right to view the Website for your own use. Nothing else is licensed.
The Website may link to third-party sites. We do not control them and are not responsible for them.
Applications and selection
Section5.1Applying
You apply through the form on the Website. Submitting an application is not acceptance.
5.2How we select
We review applications and may hold interviews. Selection decisions are made by people, using a shared rubric, at our sole discretion. We do not have to give reasons, and our decisions are final.
5.3Offers
We may accept more people than a Programme has seats (for example, 30 to 40 accepted for 24 seats). An offer is made in writing. To confirm your seat you must accept these Terms and, if the Programme has a fee, pay it within the confirmation window stated in your offer (typically 48 to 72 hours). Seats that are not confirmed in time lapse and may be given to the next person on our ranked waitlist. Seats cannot be confirmed after the cutoff date in your offer (typically five days before Day 1).
5.4Accuracy
If information in your application is false or misleading, we may withdraw your offer or remove you from the Programme at any time.
5.5No guarantee
Applying, being interviewed, being waitlisted or being accepted gives you no right to a place in any later Programme.
Fees, payment and refunds
Section6.1Fees
Some Programmes are free and some are paid. The fee, if any, and how to pay it are stated in your offer. Fees are stated inclusive of applicable taxes unless the offer says otherwise. A free Programme is still governed by these Terms.
6.2What a fee covers
A fee pays for access to the Programme and its structure. It does not buy any outcome.
6.3Refunds
- If we cancel a Programme or cannot run it, you receive a full refund of any fee you paid.
- If you withdraw in writing at least 7 days before Day 1, we refund your fee less payment-processing charges.
- After that point, and once a Programme has started, fees are not refundable. This includes where we remove you under section 20.
- Fees are never refundable because of an outcome, such as your team not launching, not gaining users or not raising money.
- Approved refunds are paid to the original payment method within 14 days of approval.
Nothing in this section limits any right you have under the Consumer Protection Act, 2019 or other law that cannot be waived.
Taking part in a programme
Section7.1What we ask of you
Attend scheduled sessions, checkpoints, launches and Demo Day. Meet the requirements in your Programme Guide, including any documentation requirements such as the clips each team records. Be present, and build.
7.2Honesty
You must not fabricate, inflate or misrepresent users, revenue, traction, conversations, testimonials, results or any other fact in any checkpoint, submission, launch, pitch or public material. Where something failed, say so.
7.3Conduct
You must treat every builder, Catalyst, Partner, staff member and guest with respect. No harassment, discrimination, threats or intimidation. Comply with all applicable law. Do not use another person's intellectual property without permission.
7.4Your data and your users
You are responsible for the personal data you collect for your own product, including from people you interview, and for complying with the law when you contact or record them. We are not responsible for your product's compliance.
7.5Tools and AI
Teams choose their own tools. Where you use AI or other tools, you are responsible for reviewing what they produce, and for making sure it is accurate, lawful and yours to use.
7.6Teams
In a Programme where teams form during the Programme, you and your teammates are responsible for agreeing between yourselves who owns what you build together and how equity is shared. We strongly recommend putting that in writing. We are not a party to those arrangements and are not responsible for disputes between teammates.
Ownership and equity
Section- You own your idea, product, code, brand, data and company. Taking part in a Programme does not transfer any of it to us.
- We take no equity, revenue share or fee on your intellectual property by reason of your participation.
- If you give us feedback about our Programmes or the Website, we may use it freely and without compensation.
- Any future investment by us or our affiliates would be a separate matter under section 13.
Documentation, media and public content
Section9.1Programmes are public by design
Checkpoints, launches and Demo Day are often public or livestreamed. We document what happens, including when things fail.
9.2Your consent
You agree that we may photograph, film and record you (image, voice and likeness) during Programme activities, and that we may use the clips and other material you record for us.
9.3Licence
You give us a non-exclusive, worldwide, royalty-free, perpetual licence to use, edit, reproduce, publish, distribute and display Programme Content in which you appear or which you create for us, together with your name, team name, product name, logo and public demo materials, to document, report on and promote the Programme and Catalysis23, on our channels and, with reasonable editorial control on our part, on the channels of Partners and Catalysts who are supporting the Programme. This licence does not cover use of Programme Content to advertise a third party's product, and we will not attribute an endorsement to you without your approval.
9.4Accuracy
We will present what happened accurately and in context. We will not knowingly publish a false statement about you or edit material to misrepresent you.
9.5Off the record
You may ask that a session or conversation be treated as off the record. If we agree, we will not publish it.
9.6Confession Booth
Confession Booth recordings are private. We release a recording only after the checkpoint it relates to has resolved, and you may veto the release of any clip about you by telling us in writing before it is published. A vetoed clip is not published.
9.7Withdrawing consent
You may withdraw your consent to future use of Programme Content by writing to us. Withdrawal does not affect use made before we received it, and we are not required to recall or re-edit content already published or distributed. On a valid request, we will remove content from the channels we control within a reasonable time, as described in our Privacy Policy.
9.8Others in your recordings
If a clip you record shows or captures other people, or includes third-party music or material, you are responsible for having their permission. Do not record anyone who has not agreed to it.
Points, checkpoints and awards
Section- Programmes may use a public points ledger based on real, verifiable milestones. We award points in good faith based on the evidence we see and may correct errors.
- No one is eliminated from a Programme because of their ranking.
- Awards, including Best Team, are non-cash and are given at our discretion. A benefit such as priority access to a conversation about potential investment is only that. It is not a promise or commitment to invest.
- We may withdraw an award or points obtained through misrepresentation.
Catalysts, partners and third-party tools
Section11.1Catalysts
Catalysts act in their own individual or organisational capacity. They are not our employees or agents. What they say is opinion and experience. It is not legal, tax, financial, medical or other professional advice, and you decide what to do with it. We do not guarantee any Catalyst's availability, advice or results. We expect Catalysts to disclose any commercial interest they have. If a Catalyst proposes a commercial arrangement with you, such as equity or a fee, during a Programme, we ask you to tell us. Any such arrangement is between you and them. We are not a party to it.
11.2Partners and sponsors
Partners may provide credits, tools or services, usually at no charge to you. Their offers are made under their own terms. We do not endorse or warrant them. You are not required to use any Partner's product. Your use of it is at your own risk, and you should read its terms before sharing any data with it.
11.3Independence
Partners and sponsors have no role in selection, evaluation, points, awards or any decision we make about investment. Where our content features a Partner because of a sponsorship or other commercial relationship, we will disclose that relationship.
Relationship
SectionNothing in these Terms or in your participation creates an employment, partnership, agency, joint venture, fiduciary or co-founder relationship between you and us or any person at Catalysis23. Titles used within Catalysis23 do not create a partnership in law.
No offer of securities; no commitment to invest
SectionWe are a venture firm. Nothing on the Website, in our content, decks or materials, or in any Programme is an offer to sell, or a solicitation of an offer to buy, any security or investment product, or an invitation to invest with us. We do not accept money from the public and do not hold funds for investment on anyone's behalf.
Taking part in a Programme gives you no right to, and no expectation of, any investment, follow-on funding or introduction from us. Any investment we or our affiliates may make would be decided independently and made under a separate written agreement on its own terms, and we would disclose any relationship relevant to it.
Figures in our materials that are marked as illustrative are examples only. They are not forecasts or promises. Statements about our plans are statements of intent and may change.
Confidentiality
SectionProgrammes are public by design. Do not share in a session, checkpoint or recording anything you are not willing to have made public, unless it has been agreed as off the record.
We will use information you mark as confidential in your application only for our Programmes and will not publish it. We may share it with Catalysts who are bound to keep it confidential. This does not apply to information that is already public, that we already knew or develop independently, or that we are required by law to disclose.
Do not disclose non-public information about other builders that you learn in private sessions.
Safety at in-person events
SectionFor in-person or residential events, you agree to follow the venue's rules and our reasonable instructions, and you take part at your own risk. Please tell us in advance about any medical, dietary or accessibility need we should plan for. Sharing this is voluntary, and we treat it as sensitive information. We may remove anyone whose behaviour endangers others.
Communications
SectionYou agree that we may contact you by email, phone, messaging apps and the channels you give us about your application, offer and participation. We send marketing messages only where you have agreed, and you can opt out at any time.
Disclaimers
SectionTo the fullest extent permitted by law, the Website and the Programmes are provided “as is” and “as available”. We do not guarantee that any Programme will lead to a launched product, users, revenue, funding, investor introductions, or any other result. Website content may contain errors. We do not guarantee that the Website will be uninterrupted or error-free.
Limitation of liability
SectionTo the fullest extent permitted by law:
- we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, opportunity, data or goodwill; and
- our total liability to you arising out of or in connection with a Programme or the Website is limited to the fees you paid us for that Programme.
Nothing in these Terms limits liability for fraud or wilful misconduct, or any liability that cannot lawfully be limited.
Indemnity
SectionYou will indemnify us against claims, losses and reasonable costs brought by a third party arising from your product, your content or recordings, your breach of these Terms, your infringement of another person's rights, or your breach of law.
Suspension and removal
SectionWe may suspend or remove you from a Programme, or restrict your use of the Website, if you breach these Terms, fabricate or misrepresent results, harass or endanger others, or act unlawfully. Where reasonable, we will tell you why. Fees are dealt with under section 6.3. You may leave a Programme at any time. Sections that by their nature should continue, including sections 8, 9, 13, 17, 18, 19 and 23, continue after your participation ends.
Changes to these terms
SectionWe may update these Terms. We will change the effective date and, for material changes, give notice by email or on the Website. A change does not alter the terms of a Programme you have already confirmed, unless the law requires it. If you keep using the Website or Programmes after a change takes effect, you accept the updated Terms.
Transfer to a successor
SectionWe may transfer these Terms, and our rights and obligations under them, to any company, LLP or other entity established to carry on Catalysis23, or to a successor to our business, on notice to you. You may not transfer your rights or obligations under these Terms without our written consent.
Governing law and disputes
SectionThese Terms are governed by the laws of India.
If a dispute arises, either party will first give written notice, and both will try in good faith to resolve it within 30 days. If it is not resolved, it will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Chennai, India, and the language will be English. The courts at Chennai, India have exclusive jurisdiction over applications for interim relief and enforcement.
Nothing in this section stops you using a forum you are legally entitled to use, including a consumer forum where the law gives you that right.
